Gray Terms Of Service
These Terms of Service ("Terms") are a legal agreement between you and Layer Gray Inc., a Delaware corporation doing business as Gray ("Gray," "we," "us," or "our"). These Terms govern your access to and use of the Gray mobile app, the Gray self-host server software, the Gray website and documentation, and related services (the "Service").
By creating an account, clicking acceptance, installing the server software, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally able to enter into these Terms to use the Service. You may use the Service only for yourself or on behalf of an organization that authorized you to do so.
2. Accounts
You create an account by verifying your email address with a one-time sign-in code. You may optionally add a passkey for faster sign-in. Accounts, credentials, sign-in codes, and entitlements are personal to you and may not be sold, transferred, or shared.
We may suspend or refuse access at any time for security, abuse-prevention, legal, or business reasons.
3. Your Account, Device, And Server
Gray is self-host software: the AI brain runs on a server you control (your "box"). You are responsible for:
- your box — its security, its operating system, its uptime, and the data on it;
- keeping your device and credentials secure;
- the model accounts and keys you make available on your box, and your compliance with those providers' terms;
- all activity under your account, device, or box;
- promptly telling us if you believe your account or device has been compromised.
The app stores your box connection credential in your device's secure credential store (the iOS Keychain).
4. The Service
Gray provides a voice-first interface (the app), server software you run on your own infrastructure, and thin supporting services operated by Gray: sign-in code delivery, purchase validation and entitlements, an optional feedback inbox, and our website and documentation.
The brain processes your requests on your box using your own model access or Gray-funded model access relayed through a service Gray operates, as described in the Privacy Policy. Two voice paths exist: main voice, transcribed by your device's speech recognition (on-device where your device supports it — see the Privacy Policy), and premium voice, a metered realtime layer in which your audio is streamed to OpenAI for the length of the session. Third-party connectors are brokered by Composio at your direction. You authorize Gray to exchange information with these providers as needed to provide the Service and as described in the Privacy Policy.
Software updates for the server are published by Gray; you choose when and whether to apply them, and supported functionality may depend on running a current version.
5. AI Output
AI output may be inaccurate, incomplete, offensive, unsafe, or unsuitable for your purpose. You are responsible for reviewing output before relying on it or sharing it, and for the actions you let the brain take on your box and connected services.
Gray is not a substitute for professional advice. Do not rely on the Service for medical, legal, tax, accounting, investment, financial, safety-critical, emergency, or other regulated advice.
6. User Content
"User Content" means anything you submit, upload, transmit, connect, or make available through the Service, including voice, audio, transcripts, prompts, files, images, feedback, and connected-service data. Most User Content is processed on your own box and never reaches Gray.
You retain your rights in User Content. For the limited content Gray does receive (such as feedback and support communications, and content transiting Gray-operated services), you grant Gray a worldwide, non-exclusive, royalty-free license to host, process, transmit, reproduce, and use it as needed to provide, secure, support, improve, and operate the Service, comply with law, and enforce these Terms.
You represent and warrant that:
- you have all rights and permissions needed to submit User Content;
- User Content does not violate law or anyone's rights;
- you will not submit regulated or sensitive data unless you are authorized to do so and the Service is appropriate for that use.
7. Feedback
If you provide ideas, suggestions, bug reports, feature requests, comments, or other feedback, you grant Gray a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation. To the extent any feedback cannot be licensed, you assign all right, title, and interest in it to Gray.
8. Acceptable Use
You must comply with the Gray Acceptable Use Policy, which is incorporated into these Terms. You may not use the Service to:
- violate law or anyone's rights;
- secretly record conversations;
- access systems, files, services, or accounts without authorization;
- create or distribute malware or deceptive, harmful, abusive, or illegal content;
- bypass safety, security, access, rate-limit, metering, or billing controls;
- reverse engineer, scrape, benchmark publicly, or attempt to extract model, system, or confidential information except as allowed by law.
9. Third-Party Services
The Service interoperates with third-party services, including Apple's App Store, OpenAI, Composio, model providers whose access you supply on your box, and services you choose to connect. Third-party services are governed by their own terms and policies. We are not responsible for third-party services, data handling, availability, or content.
If you connect a third-party account, you authorize Gray and its broker to access and use that account as directed by you and as needed to provide the connected feature.
10. Beta Features
Gray may provide beta, experimental, preview, or early-access features. Beta features may change, break, lose data, or be discontinued at any time. You should not rely on beta features for critical workflows.
11. Confidentiality
If you receive access to non-public Gray features, documentation, designs, technical information, roadmap information, pricing, or security information marked or reasonably understood as confidential, you may use that information only to evaluate or use Gray as authorized, and you may not disclose it without our written permission.
12. Privacy
Our Privacy Policy explains how we handle information. By using the Service, you agree that we may collect, use, process, and share information as described there.
13. Fees, Billing, And Refunds
13.1 Fees
Gray offers a free tier and paid tiers (Lite, Plus, Pro). Tiers gate capacity (such as parallel agents, managed servers, and the premium-voice allowance), not features. Pricing is shown in-app at the point of purchase. You are responsible for your own infrastructure costs and for any third-party provider costs (including your own model provider usage) that apply to your use.
13.2 Billing And Auto-Renewal
Paid subscriptions are purchased as in-app subscriptions through Apple's App Store, billed in advance through your Apple ID for the period shown at purchase. Subscriptions automatically renew at the then-current price for each new billing period until cancelled. Manage or cancel in your device's subscription settings; cancellation takes effect at the end of the current period. Any unused portion of a free trial, if one is offered, is forfeited when you purchase a subscription.
13.3 No Refunds
All purchases are final and non-refundable, including monthly fees, prorated time on a cancelled plan, and unused allowance.
Gray is a digital service that begins immediately upon purchase. By purchasing, you expressly consent to immediate performance of the Service and acknowledge that you waive any statutory cooling-off or withdrawal period that would otherwise apply, to the maximum extent permitted by applicable law.
Refunds for App Store purchases are handled by Apple under Apple's policies; we may, at our sole discretion and as a courtesy, issue service credits in exceptional cases. Any such accommodation is not a waiver of this policy.
13.4 Allowances
Capacity allowances (for example the monthly premium-voice allowance) are a usage allowance, not a stored-value instrument or currency. Allowances have no cash value, do not roll over unless stated, are personal to your account, and may be adjusted in cases of abuse, fraud, or violation of these Terms. On-device voice remains available regardless of allowance state.
13.5 Payment Disputes
If you initiate a payment dispute or chargeback that we determine is invalid, we may suspend or terminate your account's entitlements and pursue payment of the disputed amount plus reasonable processing fees.
13.6 Pricing Changes
We may change pricing for future billing periods. Material price changes will be communicated at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance of the new pricing.
13.7 App Store Terms
Purchases made through Apple's App Store are also subject to Apple's terms and policies, which may override this Section 13 to the extent required by the platform.
14. Suspension And Termination
We may suspend or terminate your access to Gray-operated services if:
- you violate these Terms or applicable law;
- your use creates security, legal, operational, or reputational risk;
- we discontinue the Service;
- your account or credentials appear compromised;
- we are required to do so by law or a third-party provider.
You may stop using the Service at any time. Your box and the data on it are yours; uninstalling the server software or wiping the box removes the data under your control. To delete the account records Gray holds, contact contact@layergray.com (see Privacy Policy §9).
15. Ownership
Gray and its licensors own the Service, including software, design, interfaces, workflows, branding, documentation, trade secrets, know-how, and other intellectual property. Except for rights expressly granted in these Terms, no rights are granted to you.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly allowed by us in writing.
16. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Gray disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, accurate, error-free, or suitable for your needs.
17. Limitation Of Liability
To the maximum extent permitted by law, Gray will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities.
To the maximum extent permitted by law, Gray's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid Gray for the Service in the 12 months before the event giving rise to the claim or (b) USD $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
18. Indemnity
You will defend, indemnify, and hold harmless Gray and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use of the Service, your box, your connected services, or your violation of these Terms or law.
19. Governing Law And Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service.
20. Changes
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
