Gray Terms Of Service

These Terms of Service ("Terms") are a legal agreement between you and Layer Gray Inc., a Delaware corporation doing business as Gray ("Gray," "we," "us," or "our"). These Terms govern your access to and use of the Gray app, website, voice hub, beta program, and related services (the "Service").
By creating an account, accepting a referral link, clicking acceptance, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally able to enter into these Terms to use the Service. You may use the Service only for yourself or on behalf of an organization that authorized you to do so.
2. Referral-Link Access
Gray is referral-link only during the initial launch. Account creation requires tapping a referral link issued by an existing user or by us. Referral links, invite codes, credentials, and access codes are personal to the recipient and may not be sold, transferred, posted publicly, or shared without our written permission. Referrals that earn credits are subject to the referral program rules in effect when the credit is earned (anti-abuse controls, velocity flags, and chargeback recovery apply).
We may approve, reject, suspend, or terminate access at any time, including for security, abuse-prevention, product, legal, or business reasons.
3. Your Account And Device
You are responsible for:
- keeping your device, invite link, and credentials secure;
- using app-lock and device-security features appropriately;
- all activity under your account or instance;
- promptly telling us if you believe your account or device has been
compromised.
Gray may store your instance credentials in your device's secure credential store, such as the iOS Keychain.
4. The Service
Gray provides AI-enabled voice, chat, file, workflow, and connected-service features. The Service may process your voice audio, transcriptions, messages, files, images, and connected-service information to respond to your requests.
The Service uses third-party AI providers (OpenAI for voice, Anthropic for the brain), an integration broker (Composio) for third-party connectors, an infrastructure provider (Hetzner) for hosting, and Tailscale for the private-tailnet boundary on self-host deployments. You authorize us to send information to those providers as needed to provide the Service and as described in the Privacy Policy.
Gray offers two deployment options: (a) hosted — your brain runs in a per-user container on Gray-managed infrastructure, and (b) self-host — available to paid subscribers, your brain runs on a server you control. The deployment choice is yours; pricing is the same. On self-host, you supply the VPS + OpenAI/Anthropic/Composio keys; we supply the brain software, updates, and orchestration over a hub-validated token.
5. AI Output
AI output may be inaccurate, incomplete, offensive, unsafe, or unsuitable for your purpose. You are responsible for reviewing output before relying on it or sharing it.
Gray is not a substitute for professional advice. Do not rely on the Service for medical, legal, tax, accounting, investment, financial, safety-critical, emergency, or other regulated advice.
6. User Content
"User Content" means anything you submit, upload, transmit, connect, or make available through the Service, including voice, audio, transcripts, prompts, files, images, feedback, and connected-service data.
You retain your rights in User Content. You grant Gray a worldwide, non-exclusive, royalty-free license to host, process, transmit, reproduce, display, modify, and otherwise use User Content as needed to provide, secure, support, improve, and operate the Service, comply with law, and enforce these Terms.
You represent and warrant that:
- you have all rights and permissions needed to submit User Content;
- User Content does not violate law or anyone's rights;
- you will not submit secrets, regulated data, or sensitive data unless you are
authorized to do so and the Service is appropriate for that use.
7. Feedback
If you provide ideas, suggestions, bug reports, feature requests, comments, or other feedback, you grant Gray a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation. To the extent any feedback cannot be licensed, you assign all right, title, and interest in it to Gray.
8. Acceptable Use
You must comply with the ACCEPTABLE_USE_POLICY.md, which is incorporated into these Terms. You may not use the Service to:
- violate law or anyone's rights;
- secretly record conversations;
- access systems, files, services, or accounts without authorization;
- submit malware, credentials, private keys, or other secrets;
- create deceptive, harmful, abusive, or illegal content;
- bypass safety, security, access, rate-limit, or billing controls;
- reverse engineer, scrape, benchmark publicly, or attempt to extract model,
system, or confidential information except as allowed by law.
9. Third-Party Services
The Service may integrate with OpenAI, hosting providers, connection brokers, OAuth providers, app stores, and services you choose to connect. Third-party services are governed by their own terms and policies. We are not responsible for third-party services, data handling, availability, or content.
If you connect a third-party account, you authorize Gray to access and use that account as directed by you and as needed to provide the connected feature.
10. Beta Features
Gray may provide beta, experimental, preview, or invite-only features. Beta features may change, break, lose data, or be discontinued at any time. You should not rely on beta features for critical workflows.
11. Confidentiality
If you receive access to non-public Gray features, documentation, designs, technical information, roadmap information, pricing, security information, or other information marked or reasonably understood as confidential, you may use that information only to evaluate or use Gray as authorized. You may not disclose it without our written permission.
Additional confidentiality terms may apply under a separate beta, employment, contractor, advisor, or NDA agreement.
12. Privacy
Our PRIVACY_POLICY.md explains how we handle information. By using the Service, you agree that we may collect, use, process, and share information as described there.
13. Fees, Billing, And Refunds
13.1 Fees
Gray offers a free tier (capped voice + chat usage) and paid tiers (Lite, Plus, Pro). Pricing is shown in-app at the point of purchase and on the website. You are responsible for any third-party provider costs, data charges, or connected-service charges that apply to your use.
13.2 Billing Cycle, Auto-Renewal, And Two Payment Rails
Paid subscriptions are billed monthly in advance. Subscriptions automatically renew at the then-current price for each new billing period until cancelled. Gray uses two payment rails:
- iOS in-app subscription (Apple StoreKit) — billed through your Apple
- Web subscription (Stripe) — billed through your card via Stripe.
ID, managed in Apple's Settings → [Your Name] → Subscriptions, governed by Apple's terms. Cancellation is done in Apple settings and takes effect at the end of the current period. Auto-renewal disclosure: any unused portion of a free trial (if offered) is forfeited when you purchase a subscription.

iOS in-app pricing includes Apple's commission and is set ~33% above web pricing for the same tier. You may not pay for the same subscription on both rails simultaneously.
13.3 No Refunds
All purchases are final and non-refundable. This includes monthly subscription fees, prorated time on a cancelled plan, unused credits, unused voice minutes, and add-on packs.
Gray is a digital service that begins immediately upon purchase. By purchasing, you expressly consent to immediate performance of the Service and acknowledge that you waive any statutory cooling-off or withdrawal period that would otherwise apply, to the maximum extent permitted by applicable law.
We may, at our sole discretion and as a courtesy, issue refunds or service credits in exceptional cases (for example, prolonged service outages or billing errors caused by us). Any such accommodation is not a waiver of this policy.
13.4 Credits
Credits are a usage allowance, not a stored-value instrument or currency. Credits:
- are personal to your account and **may not be sold, transferred, gifted, or
- have no cash value and cannot be redeemed for money;
- may expire monthly on a use-it-or-lose-it basis as described in the
- may be adjusted, reduced, or revoked by Gray in cases of abuse, fraud,
exchanged** between users;

chargeback, or violation of these Terms.
Earned referral credits are subject to the same restrictions and to the referral program rules in effect when the credit is earned.
13.5 Chargebacks
If you initiate a payment dispute or chargeback that we determine is invalid, we may suspend or terminate your account, claw back referral credits accrued to or from your account, and pursue payment of the disputed amount plus reasonable processing fees.
13.6 Pricing Changes
We may change pricing for future billing periods. Material price changes will be communicated by email at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance of the new pricing.
13.7 App Store Purchases
If you purchase a subscription through Apple's App Store, Google Play, or another platform, that platform's refund and billing policies also apply and may override this Section 13 to the extent required by the platform.
14. Suspension And Termination
We may suspend or terminate your access if:
- you violate these Terms or applicable law;
- your use creates security, legal, operational, or reputational risk;
- we discontinue the Service or beta program;
- your invite, account, or credentials appear compromised;
- we are required to do so by law or a third-party provider.
You may stop using the Service at any time. To delete your account in-app, go to Settings → Security → Delete account and type DELETE to confirm. We will archive your record, stop and remove your hosted container, and revoke all device sessions. The record itself is preserved for downline-referral integrity, abuse/audit trails, and legal hold (see Privacy Policy §7).

15. Ownership
Gray and its licensors own the Service, including software, design, interfaces, workflows, branding, documentation, trade secrets, know-how, and other intellectual property. Except for rights expressly granted in these Terms, no rights are granted to you.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly allowed by us in writing.
16. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Gray disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, accurate, error-free, or suitable for your needs.
17. Limitation Of Liability
To the maximum extent permitted by law, Gray will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities.
To the maximum extent permitted by law, Gray's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid Gray for the Service in the 12 months before the event giving rise to the claim or (b) USD $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
18. Indemnity
You will defend, indemnify, and hold harmless Gray and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use of the Service, your connected services, or your violation of these Terms or law.
19. Governing Law And Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Subject to any dispute-resolution terms added by counsel, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service.
Counsel note: decide whether to add arbitration, small-claims carveouts, class action waiver, and consumer-law jurisdiction exceptions.
20. Changes
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
